Welcome to Middleman. These Terms and Conditions (“Terms”) govern your access to and use of the Middleman mobile application, website, and related services (collectively, the “Platform”).
By creating an account or using the Platform, you agree to these Terms. If you do not agree, please do not use Middleman.
1. About Middleman
Middleman Technologies Ltd (“Middleman,” “we,” “us,” or “our”) is a technology platform incorporated in Nigeria that facilitates:
- Peer-to-peer escrow transactions
- Wallet-based storage of funds
- Peer-to-peer 1v1 challenges and outcome-based wagers
- Dispute resolution support
2. Eligibility
You may use Middleman only if:
- You are 18 years or older
- You have legal capacity to enter binding agreements
- Your use of the Platform is legal in your jurisdiction
You are solely responsible for ensuring that your use of Middleman complies with all applicable laws in your country or region.
3. Nature of the Service (Important Disclaimer)
DISCLAIMER
Middleman acts solely as a neutral technology intermediary.
- We do not verify the legality, quality, safety, or feasibility of transactions or wagers
- We do not act as an agent, trustee, partner, or fiduciary
- We do not guarantee outcomes, performance, or user behavior
All transactions are entered into directly between users.
4. Account Registration & Security
You agree to:
- Provide accurate and complete information
- Keep your login credentials secure
- Notify us immediately of unauthorized access
You are responsible for all activities conducted through your account.
5. Wallet & Funds Handling
5.1 Wallet System
Each user is provided with a digital wallet to store funds for Platform use.
- Wallets are non-interest bearing
- Funds are held via PSP-controlled accounts
- Funds may be pooled with other users’ funds
Middleman does not hold funds as a trustee or custodian.
5.2 Deposits & Withdrawals
- Deposits and withdrawals are processed through licensed third-party payment service providers
- Processing times may vary due to compliance, fraud checks, or PSP delays
- Middleman is not liable for PSP outages or failures
5.3 Holds, Freezes & Confiscation
Middleman reserves the right to:
- Temporarily or permanently freeze funds
- Restrict withdrawals
- Confiscate funds linked to illegal activity, fraud, or regulatory violations
This may occur without prior notice where legally required.
6. Escrow Transactions
6.1 How Escrow Works
- Funds are locked until agreed conditions are met
- Completion requires mutual confirmation or dispute resolution
- Users must clearly define deal terms before funding
6.2 User Responsibility
You acknowledge that:
- Middleman does not inspect goods, services, or deliverables
- You bear full responsibility for deal clarity and legality
- Disputes are resolved based only on submitted evidence
7. 1v1 Challenges & Wagers
7.1 Nature of Wagers
- All wagers are peer-to-peer
- Middleman does not set odds, participate, or profit from outcomes
- Outcomes must be objectively verifiable
Middleman is not a bookmaker or gambling operator.
7.2 Legal Restrictions
- Wagers are restricted in jurisdictions where prohibited
- Users are responsible for determining legality in their location
- Middleman may restrict or disable wagers where legally required
7.3 Wager Cancellation
Middleman will not void wagers arbitrarily. However, wagers may be cancelled if:
- They violate these Terms
- They involve illegal or harmful activity
- Required by law or regulators
8. Fees
- Middleman charges service and processing fees
- Fees are disclosed before confirmation
- Fees may be changed at any time
- Earned fees are non-refundable
9. Disputes & Appeals
9.1 Dispute Resolution
- Disputes must be raised within the in-app timeframe
- Evidence may include messages, files, screenshots, or external proof
- Admins may apply reasonable judgment and common sense
9.2 Appeals
- Users are entitled to one (1) appeal
- Appeal decisions are final
Middleman is not required to conduct exhaustive investigations.
10. Chargebacks & Fraud
If a user initiates a chargeback after using the Platform:
- Middleman may debit the user’s wallet
- The account may be restricted until resolved
- The user agrees to indemnify Middleman for related losses
11. KYC, AML & Sanctions Compliance
You agree to:
- Complete identity verification when required
- Submit valid documentation
- Undergo AML, fraud, and sanctions screening
Middleman may cooperate with law enforcement and regulators.
12. Prohibited Activities
You must not use Middleman for:
- Fraud or deception
- Money laundering or terrorism financing
- Illegal transactions or wagers
- Abuse, harassment, or exploitation
- System abuse or manipulation
Violation may result in account termination.
13. Account Suspension & Termination
Middleman may suspend or terminate accounts if:
- These Terms are breached
- Illegal or suspicious activity is detected
- Required by law or regulators
Users will be provided an explanation where reasonably possible.
14. Feature Availability
Middleman may:
- Add, modify, or remove features
- Disable services temporarily or permanently
- Do so without prior notice
15. Taxes
Users are solely responsible for any taxes arising from Platform use.
16. Intellectual Property
All Platform content and software belong to Middleman. Unauthorized use is prohibited.
17. Limitation of Liability
To the maximum extent permitted by law:
- Middleman is not liable for indirect or consequential losses
- Total liability shall not exceed fees paid in the previous 6 months
18. Indemnification
You agree to indemnify Middleman and its staff against claims arising from:
- Your Platform use
- Law violations
- Breach of these Terms
19. Governing Law & Dispute Forum
- These Terms are governed by the laws of the Federal Republic of Nigeria.
- Disputes shall be resolved exclusively in Nigerian courts, unless otherwise required by law.
20. Changes to Terms
- We may update these Terms from time to time.
- Continued use constitutes acceptance.
